Introduction

SuperKidz Skills Development Academy (“SuperKidz”), under the aegis of SuperKidz Academy Foundation, having its registered office at Gandhi Nagar, Basti, U.P. (hereinafter referred to as ” SuperKidz“, “we“, “us“, or ” our“) 

1. provides online courses and conducts online classes, live demo, doubt clearing sessions for the students seeking to enroll for such courses (the “Services“), which Services are accessible at superkidzacademy.org and any other websites through which SuperKidz makes the Services available (collectively, the “Website“) and as applications for mobile, tablet and other smart devices and application program interfaces (collectively, the “Applications“).
2. By accessing or using the Website, Application or Services or by downloading or posting any content from or on the Website, via the Applications, you would be indicating that you have read, and that you understand and agree to be bound by these terms and receive our Services (“Terms of Services” or “Terms”), whether or not you have registered with the Website and/or Application.
3. Therefore, please read these Terms of use/service before accessing or using this Website, Application or Services or downloading or posting any content from or on the Website, via the Application or through the Services, carefully as they contain important information regarding your legal rights, remedies and obligations.
4. If you do not agree to these Terms, then you have no right to access or use the Website, Application, Services, or Collective Content (as defined below).
5. If you are using the Website, Application or Services then these Terms of Service are binding between you and SuperKidz.

Definition

In addition to other words and expressions that may be defined elsewhere in these Terms, unless the context otherwise requires, the following capitalized terms wherever used in the Agreement shall have the meanings as ascribed hereunder:

1. “Courses” means educational courses listed on the Website or Application.
2. “Course Fees” means the amounts that are due and payable by a student for enrolment of Course.
3. “Collective Content” means Member Content and SuperKidz
4. “Content” means text, graphics, images, music, software (excluding the Application), audio, video, information or other materials.
5. “Listing” means Courses that are listed by SuperKidz as available via the Website, Application, and Services.
6. “Member” means a person, who completes SuperKidz’s account registration process, including but not limited to Teachers and Students,
7. “Member Content” means all Content that a member posts, uploads, publishes, submits, transmits, or includes in their Listing, Member profile or SuperKidz promotional campaign to be made available through the Website, Application or Services.
8. “Payment Method” means a payment method that you have added to your SuperKidz Account, such as a credit card, debit card or net banking.
9. “Student” means a member who enrolls for Courses on Application or Website, in case of minor student the parent or guardian who enroll their child or ward for the Courses on Application or Website.
10. “Tax” or “Taxes” mean any sales taxes, value added taxes (VAT), goods and services taxes (GST), service tax, that SuperKidz may be required by law to collect and remit to governmental agencies, and other similar municipal, state, federal and national indirect or other withholding and personal or corporate income taxes.
11. “Teacher”means a member who has been selected by SuperKidz in order to provide services through the Website or Application. In the whole website, Tutors, Teachers or Instructors all titles are same.
12. “SuperKidz Content” means all Content that SuperKidz makes available through the Website, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Student Content.

Terms of Service

Please read the following terms and conditions very carefully as your use of service are subject to your acceptance of and compliance with the following terms and conditions (“Terms”) since the Terms constitute a binding contract between you and us. By entering into this Website, subscribing to or using any of our services you agree that you have read, understood and are bound by the Terms, regardless of how you subscribe to or use the services. If you do not want to be bound by the Terms, you must not subscribe to or use our services. If you want to ask us anything about these Terms or have any comments or complaints on or about our website, please email us at info@superkidzacademy.org.

The Terms are effective upon acceptance and govern the relationship between you and us including the provision of any of the Services on our Website. In the event the Terms conflict with any other document / policy / content on our Website, the Terms will prevail over them, for the purposes of usage of the Website. If you do not agree to be bound by the Terms and the Privacy Policy, you may not use our website in any way and should exit immediately.

The terms & conditions set out in this Website may be altered / amended from time to time depending on the policies of SuperKidz and the prevailing market conditions. SuperKidz requests you to read and understand them as often as possible as it may not be possible for SuperKidz to intimate you on every change that occurs in these terms & conditions.

Accuracy of content

We have taken every care in the preparation of the content of this Website. To the extent permitted by applicable law, we disclaim all warranties, express or implied, as to the accuracy of the information contained in any of the materials on this Website. We shall not be liable to any person for any loss or damage which may arise from the use of any of the information contained in any of the materials on this Website.

Eligibility and Conduct

Use of the Website is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Website. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Website and shall not transact on or use the Website. As a minor if you wish to use or transact on our Website, such use or transaction on the Website shall be made by your legal guardian or parents. SuperKidz will not be responsible for any consequence that arises as a result of misuse of any kind of the Website that may occur by virtue of any person including a minor using the services provided through the Website. SuperKidz reserves the right to terminate your subscription and / or refuse to provide you with access to the Website if it is discovered that you are under the age of 18 years.

You are prohibited from selling, trading, or otherwise transferring your SuperKidz account to another party. SuperKidz owns no responsibility in any manner over any dispute arising out of transactions by any third party using your account/e-mail provided by you to SuperKidz or payments made by any of the payment methods by any third party. We make no representation that any products or services referred to in the materials on this web are appropriate for use, or available outside India. Those who choose to access this Website from outside India are responsible for compliance with local laws if and to the extent local laws are applicable.

Account and Registration Obligations

In consideration of your use of our website, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws as applicable in India. You also agree to provide true, accurate, current and complete information about yourself as prompted by our website’s registration form or any information provided by you by other means of communication. If you provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of our website (or any portion thereof). You undertake to indemnify and keep indemnified SuperKidz for any loss, claim, damage, costs (including legal and professional costs) relating to any abuse or violation including those aforesaid.

“Your Information” is defined as any information you provide to us in the registration, buying or listing process, in the feedback area or through any email feature. We will protect Your Information in accordance with our Privacy Policy. If you use the Site, you are responsible for maintaining the confidentiality of Your Login ID and Password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under Your Login ID or Password. We shall not be liable to any person for any loss or damage which may arise as a result of any failure by you to protect your password or account. You undertake to indemnify and keep indemnified SuperKidz for any loss, claim, damage, costs (including legal and professional costs) relating to your responsibility or liability or failure including those aforesaid. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to refuse service, terminate accounts, or remove or edit content in its sole discretion.

Electronic Communications

When you visit our website or send email(s) to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or SMS. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy all legal requirements.

SMS Communication

On registering in our website, you agree that we may use your registered mobile number on the Website to send Transaction related SMS to you. You also grant us permission that we may send you any Transaction related SMS irrespective of having DND services activated on your mobile.

Fees and Refunds

In the event you are not satisfied with the services provided by SuperKidz, we request you to contact us at contact@superkidzacademy.org The user hereby acknowledges that the refund of payment once validly made by the user for the services provided by SuperKidz will be at the sole discretion of SuperKidz and No Refund will be made in respect of the services/tuitions/classes already provided.

Credit Card/Debit Card Details

You agree, understand and confirm that the credit card details provided by you for availing of services on our Website will be correct and accurate and you shall not use the credit card/debit card which is not lawfully owned by you, i.e. in a transaction, you must use your own card/account. You further agree and undertake to provide the correct and valid credit card details when making payment on our website. We do not store any information related to your Credit card/ Debit card or net banking. In case we do not receive an authorization from the respective bank or the transaction gets interrupted due to any reason, the transaction will be treated as failed and no order will be processed for that transaction. In this case, if any amount has been deducted from your account, the same will be credited back. We shall not be liable in any event, for any credit card fraud that occurs to you. The liability for use of a card fraudulently will be on you and the onus to ‘prove otherwise’ shall be exclusively on you.

Fraudulent /Declined Transactions

Our payment partner’s (being the Payment Gateways and facilitators and Banks) and our fraud detection team constantly monitors your account in order to avoid fraudulent accounts and transactions. We reserve the right to initiate legal proceedings against such persons for fraudulent use of our website and any other unlawful acts or omissions in breach of these terms and conditions. In the event of detection of any fraudulent or declined transaction, prior to initiation of legal actions, we reserve the right to immediately delete such user account(s) and dishonor all past and pending orders without any liability. For the purpose of this clause, we shall owe no liability for any refunds.

Abuse or Misuse of the Website

The user hereby agrees that the user shall neither by itself nor be part of any kind of abuse or misuse of the Website in any manner whatsoever. By availing to the video tutorial sessions available on the Website, the user agrees that, apart from not sharing any kind of personal information of any kind with the other party, the user shall also ensure that he/she shall not inter-alia share, display, convey, transmit or portray abusive content of any kind in any manner whatsoever. Likewise, in the event the user feels that there is any kind of abusive content or such other information shared / displayed by the other party, the user shall immediately report the same to us at contact@SuperKidz.in. In the event SuperKidz has reasons to believe that the user is inter-alia sharing, displaying, conveying, transmitting or portraying abusive content of any kind of the user has been part of such transmission, SuperKidz has the absolute right to terminate the account and the services availed by the user without providing any reason whatsoever, apart from other measures that SuperKidz may recourse to. The user hereby also agrees and confirms that SuperKidz shall not be responsible or liable for inter-alia any act as mentioned above in any manner whatsoever and that the user shall not make any kind of claim against SuperKidz or make SuperKidz party to any claim he/she is making before any forum in relation to any abuse or misuse of the Website to which the user is a party to or otherwise. The user hereby also agrees and understands that it shall be the sole responsibility of the user to restrict such abuse or misuse of any kind of the Website and the services availed and the user shall ensure that it shall report to SuperKidz at the earliest on occurrence of any such event.

Similarly, the user hereby also agrees that he/she shall not inter-alia share, display or transmit any copyrighted material which he/she is not permitted to do in the course of the facilities availed of the Website. The user shall be entitled to share only such materials which have an open-source code and that they have specifically permitted the user to share. In the event the user shares any of the copyrighted materials to the other party without the prior written consent of SuperKidz, the user shall be liable for such actions taken against it by SuperKidz and any aggrieved third party for violations of the intellectual property rights of such parties.

Services provided by third parties

The user hereby agrees and understands that the services provided by SuperKidz also include such exclusive third party services. The user admits that the use of such third party services shall be the sole responsibility of the user and the user shall ensure that he/she maintains such telecommunications and internet services necessary for availing such services along with such required software and hardware devices, at the sole cost of the user. The user hereby agrees and acknowledges that SuperKidz shall not be liable for any loss, data corruption, bad signals, communication difficulties or any other damage of loss of any kind arising out of the user availing such third party services.

You Agree and Confirm

1. That you shall use the services provided by us, for lawful purposes only and shall comply with all applicable laws and regulations while using the Website and transacting on the Website.
2. You shall provide authentic and true information in all instances where such information is requested of you. We reserve the right to confirm and validate the information and other details provided by you at any point of time. If upon confirmation your details are found to be false (wholly or partly), we have the right and the sole discretion to reject the registration and debar you from using the services of our Website and / or other affiliated websites without prior intimation whatsoever.
3. That you shall access the services available on this Website and transact at your sole risk and shall use your best and prudent judgment before entering into any transaction through this Website.
4. That neither you nor the tutor shall share their respective personal details including any kind of contact information with each other. In the event the user becomes aware of any such information, the user shall intimate SuperKidz on the same at the earliest.

You agree and confirm that you shall not use our Website for any of the following purposes:

1. Disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
2. Transmitting material that encourages conduct that constitutes a criminal offence results in civil liability or otherwise breaches any relevant laws, regulations or code of practice.
3. Gaining unauthorized access to other computer systems.
4. Using, displaying, mirroring or framing the Site, or any individual element within the Site or services, SuperKidz’s name, any SuperKidz trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without SuperKidz’s express written consent.
5. Interfering with any other person’s use or enjoyment of the Site.
6. Breaching any applicable laws, rules or regulations.
7. Interfering or disrupting networks or web sites connected to the Site.
8. Making, transmitting or storing electronic copies of materials protected by copyright without the permission of the copyright owner.
9. Collecting or storing any personally identifiable information from the Site or services from other users of the Site or services without their express permission.
10. Impersonating or misrepresenting your affiliation with any person or entity.
11. Violating any applicable law or regulation.
12. Encouraging or enabling any other individual to do any of the foregoing.

Governing Law and Jurisdiction

These Terms shall be construed in accord with the applicable laws of India. The Courts at Basti shall have exclusive jurisdiction in any proceedings arising out of these Terms.

In the event of any dispute or difference either in interpretation or otherwise, of any terms of these Terms of Use, the same shall be referred to an independent arbitrator who will be appointed by SuperKidz and such Arbitrator’s decision shall be final and binding on you. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended time to time. The arbitration shall be conducted in English language and shall be held in Basti and Lucknow.

Modification of Terms & Conditions of Service

We may at any time modify the Terms of our Website without any prior notification to you. Should you wish to terminate your account due to a modification to the Terms or the Privacy Policy, you may do so email us at contact@SuperKidz.in. However, if you continue to use the service you shall be deemed to have agreed to accept and abide by the modified Terms of this Website.

Reviews, Feedback, Submissions

All reviews, comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered on or by our Website, submitted or offered in connection with your use of this Website (collectively, the “Comments”) shall be and remain our property. Such disclosure, submission or offer of any Comments shall constitute an assignment to us of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the Comments. Thus, we own exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. We will be entitled to use, reproduce, disclose, modify, adapt, create derivative works from, publish, display and distribute any Comments you submit for any purpose whatsoever, without restriction and without compensating you in any way. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material. Trademarks that are located within or on our Website or a website otherwise owned or operated in conjunction with SuperKidz shall not be deemed to be in the public domain but rather the exclusive property of SuperKidz, unless such site is under license from the trademark owner thereof in which case such license is for the exclusive benefit and use of SuperKidz, unless otherwise stated.

SuperKidz does not have any express burden or responsibility to provide you with indications, markings or anything else that may aid you in determining whether the material in question is copyrighted or trademarked. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of the Website, you warrant that the owner of such material has expressly granted SuperKidz the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. You also permit any other end user to access, view, store or reproduce the material for that end user’s personal use. You hereby grant SuperKidz, the right to edit, copy, publish and distribute any material made available on the Website by you.

Termination and Survival of the Terms after the Term ends

SuperKidz may terminate these Terms at any time. Without limiting the foregoing, SuperKidz shall have the right to immediately terminate your password or account or block your IP address, in the event of any conduct by you, which SuperKidz, in its sole discretion, considers to be unacceptable, or in breach of these Terms.

You may terminate these Terms at any time, provided that you discontinue any further use of our website.

Notwithstanding any other provisions of these Terms, or any general legal principles to the contrary, any provision of these Terms that imposes or contemplates continuing obligations on a party including our right to any Comment will survive the expiration or termination of these Terms.

Limitation of Liability and Disclaimers

The Website is provided without any warranties or guarantees and in an “As Is” condition. You must bear the risks associated with the use of the Website.

We will not be responsible for any errors or omissions or for the results obtained from the use of such information or for any technical problems you may experience with the Website. This disclaimer does not apply to any product warranty offered by us as specified in the product specifications. This disclaimer constitutes an essential part of these Terms. Indemnity

You agree to defend, indemnify and hold us and our employees, directors, officers, agents and their successors and assigns, harmless from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney’s fees, caused by or arising out of or relating to claims based upon your actions or inactions, which may result in any loss or liability to us or any third party, including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under these Terms of Use or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of these Terms of Use.

Website Security

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site. You agree, further, not to use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search this Site Our Website can be used on most of the internet browsers.

Entire Terms

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect. Unless otherwise specified herein, these Terms and the Website policies constitute the entire agreement between you and SuperKidz with respect to our sites/services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us with respect to SuperKidz. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

For Tutors

1. A Tutor warrants that he/she is, at least, eighteen years of age, and has the lawfully necessary educational qualifications and/or experience to provide tuition in the subject/s specified by the Tutor on the Site.
2. A Tutor agrees and understands that he/she is not an employee of SuperKidz and accepts full responsibility for all Income Tax and other amounts payable in relation to any fees generated from a tuition contract with Student or Parent through the Site. We do not issue any working experience certificate to our registered members.
3. A Tutor understands and accepts that details entered by them on the Site will be publicly visible and may appear in search engines (Google, Yahoo, Bing etc.) results.
4. A Tutor accepts full responsibility for all information published by him/her or it on the Site and shall indemnify SuperKidz in relation to any liability incurred by them as a result of any such information.
5. A Tutor undertakes to register for the SuperKidz service, always providing and using accurate and current information about him/her – including name, address, telephone number/s, qualifications, tutoring experiences and any other details requested by SuperKidz.
6. Tutors are bound to show proof or disclose their qualification details to the reasonable satisfaction of the student or parent party before entering into a tuition engagement and also if and as requested by them, later.
7. All tuitions posted in our site are verified to the best of our knowledge. If the student or parent does not disclose any information beforehand, SuperKidz will not be responsible for the same.
8. A Tutor will accept full responsibility for the hourly rates or prices quoted by them for their services and presented in the exact detail on the Site.
9. Money will be added to your account after successful completion of the tuition sessions, following full satisfaction of the student and his/her parent/s.
10. Student will release money only after receiving request for the same from the tutor.
11. Student can always cancel any booking, but only after the first session. It is the Tutor’s responsibility to impress and convince the student party with his/her teaching abilities and methods.
12. Tutors should not start any tutoring session unless the student agrees to it and funds the session fees through the SuperKidz payment system.
13. SuperKidz will not be responsible for making any kind of payment to tutors if the students or parents have not funded the tuition sessions in advance.
14. Tutor shall indemnify SuperKidz from all claims, liabilities, costs and expenses (actual or consequential) of every kind and nature known and unknown, suspected and unsuspected, disclosed and undisclosed arising out of any use by the Tutor of the Site.
15. A tutor and a tutorial center hereby acknowledge that SuperKidz is not liable to the Tutor for reimbursement of any fees decided upon as a result of these Terms in the event of any cancellation of any Contract or Tuition for any reason.
16. In responding to feedback of Students posted on the Site a Tutor shall not, in any way, show disrespect towards a Student or his family.
17. We are not involved in any kind of interactions that takes place between the tutors and students, and hence is not liable for any dispute or disagreement or misinterpretations or arguments arising between the parents / students and the tutors. The parents / students and the Tutors are however free to take feedback and suggestions from us to solve the issue amicably.
18. For all commitments/representations of Tutor to Student other than those which are mentioned on Site Tutor alone would be liable and responsible towards Student, and shall also keep us indemnified and harmless against all such claims/disputes.
19. Tutor is expected to conduct himself in a teacher / coach like manner which is generally prevalent and acceptable in a teacher and student like relationship.

For Students or Parents

1. A student or parent undertakes to register for the SuperKidz service, always using accurate and current information about himself/herself – including name, email ID, mobile number etc.
2. During posting or tuition requirement students should enter as much details as possible for better responses from tutors and institutes.
3. Students or Parents should check tuition profile privacy settings properly to avoid unwanted calls on their mobiles from prospective tutors and institutes.
4. Students must pay a tutor through SuperKidz payment system only, to avoid any kind of misunderstanding and other issues with tutors in the latter stages. Payments with SuperKidz are safe and will not be released to the tutor without your permission.
5. SuperKidz does not support or encourage any direct payment to any tutor as that could lead to a potential fraud and we do not take any responsibility for such payments or tutors.
6. SuperKidz takes responsibility of payment handling only (if funded) and not for any tutor’s social or other behaviour. SuperKidz does not guarantee the tutoring quality and style as a tutor. Student acknowledges that it is his/her responsibility to verify the credentials and qualifications of any tutor with whom she/he enters into or proposes to enter into a tuition contract.
7. Students or parents should understand that tutors are not our employees and we cannot take responsibility for verifying their backgrounds and behaviors. SuperKidz is just an online platform where tutors and institutes can give their services.
8. No Tutor can guarantee good grades; therefore, grade you get cannot be a reason for student to come back at a later time and demand refund for services.
9. Student/parent should use caution, good judgment and proper language when leaving a Review for a Tutor. What you post will be a permanent part of that tutor’s record. Please restrict your review to a Tutor’s teaching-related skills (communication skills, knowledge, patience, clarity etc.)
10. We are not involved in any kind of interactions that takes place between the tutors and students, and hence is not liable for any dispute or disagreement or misinterpretations or arguments arising between the parents / students and the tutors. The parents / students and the Tutors are however free to take feedback and suggestions from us to solve the issue amicably.
11. Student is expected to conduct himself in a Student like manner which is generally expected and regarded as ideal Student behaviour prevalent in education stream.

1. SuperKidz would not be liable to offer any compensation or damages of any nature to Student if SuperKidz deactivates a Tutor account or if Tutor discontinues /chooses to not extended tutor sessions.
2. Students should take enough care and make an intuitive decision before taking up an assignment to avoid any kind of repercussions. SuperKidz would not be responsible and liable for any such unforeseen and unfortunate event including but not limited to bodily injury, sexual or mental harassment of any nature, if any.
